Memorial Hospital and Guthrie Sign Affiliation Agreement

Memorial Hospital in Towanda, Pa. and Guthrie in Sayre, Pa. have signed an Affiliation Agreement aimed at improving patient access to care and enhancing health care services to the people of the communities we serve.

Gary A. Baker, Memorial Hospital President and CEO stated, “Health care reform is bringing changes to the health care environment which created the momentum to explore affiliations that will be advantageous to this region. It is important for us to partner with an organization that shares our level of commitment to patient care.”  He added, “When you couple that with the advanced specialty care Guthrie offers, it is an organization we can recommend to our patients with confidence.”

“The health care challenges facing our communities are not unique to this region, nationwide health systems are leveraging efficiencies to manage the health of a broad base of the population,” stated Dr. Joseph Scopelliti, Guthrie President and CEO. “This is an opportunity to broaden access to coordinated high-quality care across the region, build on the strengths of both organizations and share best practices to better meet the needs of the communities we serve.”

In June 2013, Memorial Hospital and Guthrie signed a Letter of Intent, thereby clearing the way for formal discussions. That step was followed by a period of due diligence on the part of each organization during which time the two organizations shared information to explore the compatibility of the two cultures, identify opportunities to enhance efficiencies and improve quality of care. The overall objective during this period of exploration is to understand how to best sustain quality health care services in our communities. The boards of the two organizations gave final approval of the agreement.

The agreement is pending final regulatory approval, including approval by the Pennsylvania Attorney General. Antitrust guidelines do not permit detailed planning of the affiliation until regulatory approval is granted. The Affiliation Agreement is expected to be reviewed by the Pennsylvania Attorney General in the next 90 days although a final decision may take several months.

If an affiliation occurs, Memorial Hospital would be named Guthrie Towanda Memorial Hospital and would incorporate the Guthrie logo as part of its new corporate identity.  It would become a member of the Guthrie network of hospitals and clinics. Guthrie Towanda Memorial Hospital would have an active governing Board of Directors and a President to oversee operations.

Memorial Hospital is a non-profit full-service community hospital that provides inpatient, outpatient, critical care, surgery, radiology, specialized therapies, emergency care and emergency medical transport services. The Memorial Hospital health care system includes the physician and provider group Community Health Associates LLC, a Skilled Nursing Unit, a Personal Care Home and an In-Home Care Division which includes Home Health and Hospice. Memorial Hospital is located in Towanda, Pa and serves Bradford and Sullivan counties as well as the surrounding communities.

Guthrie is a non-profit integrated health system located in north central Pennsylvania and Upstate New York, serving patients from an 11-county service area. Guthrie is comprised of a research institute, home care/hospice, hospitals in Sayre, Pa., Corning, N.Y., and Troy, Pa., as well as a multi-specialty group practice of more than 260 physicians and 130 mid-level providers in a regional office network encompassing sub-specialty and primary care sites in 23 communities throughout Pennsylvania and New York.  Guthrie offers a wide range of services and programs designed to enhance the health and well-being of those it serves.
